1. Introduction
These Terms and Conditions ("Terms") govern your use of Frank ("the Service"), a design quality assurance platform operated by Frank ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms. If you do not accept these Terms, you may not use the Service.
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
2. Definitions
"Frank" means the company operating the Service, registered in the United Kingdom.
"Service" means the Frank design QA platform, including all features, tools, integrations, and functionality made available through usefrank.io, together with all improvements, enhancements, and derivative works thereof.
"User", "you", or "your" means the individual or entity that has registered for an account on the Service.
"Team" means a group of Users collaborating within the Service under a shared workspace.
"Scan" means an automated visual comparison between a live website and a Figma design file.
"User Data" means all data, content, and materials you submit, upload, or generate through your use of the Service, including website URLs, Figma integrations, scan results, and account information.
"Subscription" means a paid plan providing access to premium features of the Service.
3. The Service
3.1. Access
We will provide you access to the Service in accordance with the plan you have selected (Free or a paid Subscription tier) and these Terms.
3.2. Free Plan
Users on the Free plan may join existing Teams and run Scans within those Teams but may not create new Teams. Access to certain features is limited based on the plan tier.
3.3. Paid Subscriptions
Paid Subscription tiers provide access to additional features including the ability to create Teams, invite members, and access expanded scan capabilities. Features available on each tier are as described on our pricing page at usefrank.io/pricing, which we may update from time to time.
3.4. Modifications
We may modify, update, or discontinue any aspect of the Service at any time, including adding or removing features. We will endeavour to provide reasonable notice of material changes where possible.

4. Account Registration
4.1. You must be at least 18 years of age to create an account on Frank.
4.2. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
4.3. You must notify us immediately at support@usefrank.io if you become aware of any unauthorised use of your account.
4.4. You agree to provide accurate and up-to-date information when creating and maintaining your account.
5. Intellectual Property
5.1. As between you and Frank, we own all Intellectual Property Rights in the Service, including all software, design, trademarks, and underlying technology. Nothing in these Terms transfers any ownership of our Intellectual Property Rights to you.
5.2. You retain all ownership of your User Data. These Terms do not grant us any ownership rights over your User Data.
5.3. You grant us a limited, non-exclusive licence to store, process, and display your User Data solely for the purpose of providing the Service to you.
5.4. We may use anonymised and aggregated data derived from usage of the Service for product improvement, analytics, and research purposes. Such data will not identify you personally.
5.5. You agree not to copy, modify, distribute, sell, reverse engineer, decompile, or create derivative works of the Service or any part of it.
6. User Responsibilities
6.1. You are solely responsible for all User Data you submit through the Service and for ensuring you have the right to use any websites, Figma files, and other materials you connect to or process through the Service.
6.2. You agree not to use the Service:
- For any unlawful purpose or in violation of any applicable laws or regulations;
- To infringe the intellectual property rights of any third party;
- To transmit harmful, offensive, or disruptive content;
- To attempt to gain unauthorised access to any part of the Service or its underlying systems;
- Using automated means such as bots, scrapers, or scripts without our prior written consent.
6.3. You are responsible for maintaining backup copies of your User Data. We do not accept liability for any loss of User Data.
7. Subscriptions, Fees and Payment
7.1. Subscription Fees
Paid Subscription fees are charged at the beginning of each billing period (monthly or annually as selected) and are fully earned upon payment.
7.2. Payment
By subscribing to a paid plan, you authorise us to charge your payment method for all applicable fees. Payments are processed by our third-party payment provider, Stripe.
7.3. Non-refundable
All fees paid are non-refundable except as required by applicable law or as otherwise stated in these Terms.
7.4. Cancellation
You may cancel your Subscription at any time. Upon cancellation, your Subscription will remain active until the end of the current billing period, after which your account will revert to the Free plan.
7.5. Late Payments
If payment is not made when due, we reserve the right to suspend or restrict your access to paid features until payment is received.
7.6. Taxes
All fees are exclusive of any applicable taxes. You are responsible for paying any sales tax, VAT, or other applicable taxes arising from your use of the Service.
8. Data Retention and Deletion
8.1. Account Deletion
You may delete your account at any time through your account settings. Upon deletion, your User Data will be removed from our primary database within 30 days.
8.2. Subscription Expiry
If your Subscription expires or you downgrade to the Free plan, your data will be retained and remain accessible in accordance with Free plan limitations. We will not delete your data solely due to a change in subscription status.
8.3. Data Retention
We may retain certain data for legal, compliance, or legitimate business purposes beyond the periods described above, in accordance with our Privacy Policy.
9. Third Party Integrations
9.1. The Service integrates with third-party platforms including Figma and Google. Your use of these integrations is subject to the respective terms and privacy policies of those third parties.
9.2. We are not responsible for the availability, accuracy, or conduct of any third-party services.
10. Disclaimers and Limitation of Liability
10.1. The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement, to the fullest extent permitted by applicable law.
10.2. We do not warrant that the Service will be uninterrupted, error-free, or free from viruses or other harmful components.
10.3. To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or loss of business, arising from your use of or inability to use the Service.
10.4. Our total aggregate liability to you for any claims arising under or in connection with these Terms shall not exceed the greater of (a) the total fees paid by you to us in the 12 months preceding the claim or (b) £100.
10.5. Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.
11. Indemnification
You agree to indemnify and hold harmless Frank and its officers, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your User Data, or your breach of these Terms.
12. Termination and Suspension
12.1. We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms or applicable law.
12.2. You may terminate your account at any time through your account settings.
12.3. Upon termination, your right to access the Service will cease immediately. Data deletion will occur in accordance with Section 8.
13. Copyright
13.1. If you believe that any content on the Service infringes your copyright, please send a written notice to support@usefrank.io including:
- Your name and contact details;
- Identification of the copyrighted work you believe has been infringed;
- Identification of the material on the Service you believe is infringing;
- A statement that you have a good faith belief that the use is not authorised by the copyright owner;
- A statement that the information in your notice is accurate and that you are authorised to act on behalf of the copyright owner.
13.2. We reserve the right to remove content alleged to be infringing at our sole discretion.
14. Governing Law and Disputes
14.1. These Terms are governed by the laws of England and Wales.
14.2. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
14.3. We will endeavour to resolve any disputes informally in the first instance. Please contact us at support@usefrank.io before initiating any formal proceedings.
15. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or by displaying a prominent notice within the Service. Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
